The Client Research Page is available to clients of Jefferson Research as a tool to better understand the fundamental strength of companies as reflected in their financial statements. These companies are rated and measured in separate dimensions using the proprietary Torpedo Alert^® multi-period rating system.

These pages show the historical changes and trouble spots of individual companies, industries and sectors and identify the highest probability long and short opportunities.

                   Proprietary Rights and Confidentiality Agreement

1. Jefferson Research & Management ("Jefferson") grants its clients ("End User") the license to use the Research Website and related computer data displayed thereon, known as Torpedo Alert® data ("Licensed Product").   The Licensed Product is proprietary to Jefferson and remains the property of Jefferson except to the extent of the license provided by and is for use solely by the End-User.
 
2. Jefferson shall not be liable for delays or failures of the Licensed Product which are related to computer failures, data vendors, delivery companies, or attributable to acts of God or other acts or events beyond the control of Jefferson

End-User realizes that the employees of and consultants for Jefferson will use commercially reasonable efforts to provide computer data as free of error as is possible, and that it is the nature of evolving programming and the development of computer data that errors may occur. End-User agrees to indemnify, defend and hold Jefferson, its directors, officers, employees, programmers, affiliated marketing parties and agents, and consultants harmless from and against any claim for special, incidental or consequential damages (including damages for loss of business, loss of profits, litigation and the like) whether based on breach of contract, breach of warranty, tort (including negligence), product liability or otherwise, even if advised of the possibility of such damages, and the maximum liability of Jefferson for any such errors is limited to the amount paid by the End-User for the Licensed Product.  End-User also acknowledges that there is a very high degree of risk involved in the purchase and sale of securities and Jefferson Research and all individuals affiliated with Jefferson Research assume no responsibilities for the trading and investment results of subscribers.

3. The Licensed Product (and any derived computation thereof) is licensed solely for use on the End-User's computer and is not purchased for resale nor for use on computers other than the End-User.  The End-User agrees to keep the Licensed Product for its own use and not sell, assign or otherwise transfer the Licensed Product (or any derived computation thereof).  The End-User also agrees not to allow or encourage the Licensed Product to be subjected to reverse engineering, decompiling, or disassembling. The End-User further agrees not to tamper with, or otherwise attempt to defeat any encoded identification, security device, or any other safeguards that are present in the Licensed Product. End-user is hereby advised that the computer data contained in the Licensed Product is proprietary.. End-User acknowledges and agrees that it must not make backup copies for use by others or for sale to others. End-Users agrees that all copies of the computer data and programs will be strictly safeguarded against disclosure to, or use by, persons not authorized by Jefferson End-User agrees that unauthorized copies or disclosure of the computer software will cause great damage to Jefferson and that this damage is far greater than the value of the computer data and software involved. 


4. End User acknowledges and agrees that errors or mistakes may occur from time to time in the contents of the research and reports included in the Licensed Product, including without limitation mistakes in the information provided to or used by Jefferson to generate the Licensed Product.  JEFFERSON HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR ARISING FROM COURSE OF DEALING in connection with the Licensed Product, except as specifically set forth herein.  The sole and exclusive remedy of the End-User for any errors or mistakes in the contents of the research and reports included in the Licensed Products shall be refund of fees paid to Jefferson for any remaining subscription period.  In addition to the foregoing, End-User acknowledges the speculative nature of the markets and acknowledges that the Licensed Product as furnished does not constitute an endorsement of any trading method, program, routine, or use of data. There are no claims, guarantees, or implied promises of any nature connected with the use or interpretation of the Licensed Product.  
		

5. This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, United States of America. The breaching party shall pay all reasonable costs, expenses and reasonable attorney's fees incurred by the other party to enforce this Agreement.
       
This agreement may not be assigned by either party without prior written         consent of the other party.

6. Arbitration

If there is a claim or dispute between any two parties arising out of or relating to this Agreement, or the breach thereof, and such parties have not resolved such claim or dispute within forty-five (45) days, after written notice from either party to the other setting forth the nature of such claim or dispute, then upon written notice of demand for arbitration given by one party to another, such claim or dispute will be settled by binding arbitration conducted in Portland, Oregon, in accordance with the Commercial Arbitration Rules of the American Arbitration Association, by an arbitrator mutually agreed upon by both parties or, in the absence of such agreement within ten (10) days following the receipt of such demand, by an arbitrator or arbitrators appointed by the American Arbitration Association.

Every decision of an arbitrator will be final and binding upon each party and there will be no appeal therefrom.  Said decision will be complied with within thirty (30) days.  The arbitrator will have jurisdiction to award the cost of the arbitration, including the fees of the arbitrator, as between the parties as the arbitrator sees fit, except as provided in the following sentence.  If the arbitrator determines that the issues raised by any party are frivolous, not in good faith, or without basis all of said costs will be paid by such party.  The arbitrator may direct the payment of interest in respect to any award at such rates and from and to such dates as are determined by the arbitrator to be appropriate.  Any award or decision of an arbitrator may be entered as an enforceable judgment in any state or federal court in the State of Oregon.

7. Any notices given pursuant to this agreement will be deemed to have been received: (i) if hand delivered, on the day of the delivery; (ii) if sent by registered mail on the third day after being sent; or (iii) if sent by facsimile on the day sent provided the transmitting facsimile machine produces a report verifying successful completion of the transmission provided that if any of the events in (iii) above occur after 5 p.m. the notice will be deemed to have been received on the next business day.
